Shack Sounds Terms and Conditions

  1. These terms and conditions relate to your application to participate in a talent search competition entitled “Shack Sounds” operated by Diverse Dining Ltd in association with their Shake Shack brand license in association with Naughty Boy.
  2. You acknowledge and agree to abide by the rules, regulations, terms and conditions for this Program and you acknowledge that the Rules may be changed (including without limitation verbally) at any time by Diverse Dining Ltd in their sole discretion. Diverse Dining Ltd decision regarding all elements of the application process, the competition and the Program shall be final and binding.
  3. Entry is open to music artists of any composition or genre by applying online at Entries will close on 23rd March 2018 at 23:59 GMT or at such other date and time as Diverse Dining Ltd may elect. Diverse Dining Ltd may in their sole discretion include additional methods of application at any time and the closing dates for such methods will be as stated in the relevant promotion.
  4. Diverse Dining Ltd do not accept any responsibility whatsoever for any technical failure or malfunction or any other problem with any online applications, telephone network or line, system, server, provider or otherwise which may result in any messages or applications not being properly received or recorded.
  5. 5 music artists will be selected to join the Shack Sounds Program. The decision will be at the sole discretion of Naughty Boy whose decision will be final and binding.
  6. The 5 artists invited to join the Shack Sounds Program will each receive a minimum of 2 hours mentoring and development with Naughty Boy and his management team at a London location of Naughty Boy’s choosing during April 2018. Whilst we will endeavour to be flexible with scheduling these sessions, the obligation will be on the artists to make themselves available within Naughty Boy’s schedule.
  7. To the extent Naughty Boy and/or his team contribute to the recordings and/or songs recorded and/or written by the Shack Sounds UK artists, then appropriate credits shall be accorded, and if any such Product is to be commercially exploited, then terms shall be agreed in good faith in advance, with Naughty Boy having first refusal on any publishing and/or recording arrangements for the exploitation of the Product.
  8. The 5 Shack Sounds Artists will be required to perform sets in London Shacks on 9th, 16th and 23rd May 2018 and up to 5 additional dates. Additional dates to be scheduled by agreement.
  9. Shack Sounds Artists will be required to participate in press and publicity for Shack Sounds in 2018 by arrangement with travel expenses by agreement with Diverse Dining Ltd.
  10. Any or all of the Shack Sounds Artists may be invited to sign to Naughty Boy’s label at his sole discretion with no obligation for Naughty Boy to offer recording contracts to any of the Shack Sounds Artists.
  11. Artists will be responsible for their own expenses for attending attending Shack Sounds mentoring and the London Shack Sounds performance on 9th, 16th and 23rd May 2018. Expenses for any additional performances will be by individual agreement with Diverse Dining Ltd.
  12. To apply for the Shack Sounds Program you must be at least 16 years old by 23rd March 2018.
  13. If you are under 18 years of age please make sure that you get the permission of your parents or legal guardians before applying.
  14. If you are under 18 years of age you must be accompanied by your parents or legal guardians at all events and performances. Proof of age will be required.
  15. If you are applying on behalf of a group, please ensure that you have the consent of all members of the group who must all be at least 16 years old by 23rd March 2018. If any member of the group is under the age of 18 then please ensure you have the consent of each parent or legal guardian.
  16. All individuals or group members applying for the Shack Sounds Program must be resident in the UK and have the right to work in the UK, Channel Islands, Isle of Man or Republic of Ireland. You must be able to demonstrate that you have this right on request by Diverse Dining Ltd at any time and you agree to notify Diverse Dining Ltd immediately of any change in your immigration status or work entitlement.
  17. In entering this competition you hereby irrevocably grant all consents necessary for Diverse Dining to film and record any Shack Sounds performances and to use recordings featuring your contribution including the material you have uploaded to enter the competition, including without limitation your image and/or voice, in connection with the Shack Sounds and/or ancillary rights in the Shack Sounds and to exploit the same in all media throughout the world in perpetuity without the need for payment to you. You agree to waive any moral rights that may exist in relation to your contribution.
  18. All personal details and/or information given in your application either in this form or otherwise must be truthful, accurate and in no way misleading. Diverse Dining Ltd reserves the right to disqualify you if you have supplied untruthful, inaccurate or misleading personal details and/or information, have failed to abide by the Rules and/or are in breach of these terms and conditions.
  19. Individuals or all members of any group applying to the Shack Sounds Program must disclose to the Diverse Dining the details of any unspent criminal convictions other than driving offences which have not resulted in a ban or more serious sentence. You shall notify the Diverse Dining immediately if there are any criminal charges brought against you or if any information you provide in your application becomes inaccurate between now and for the duration of the Shack Sounds Program.
